Caitlin Condon is a corporate and commercial transactions attorney specializing in the purchase and sale of businesses; commercial leasing and other rights of use agreements for office, warehouse and retail spaces; formation of foreign or domestic business entities and drafting the business’s governing documents.

Ms. Condon assists clients in the transfer of stock or membership interest in their businesses and prepares succession plans, buy/sell agreements and stock restriction agreements, each of which is designed to protect the interests of the individuals behind a business. Also, she drafts and reviews commercial business contracts, including, but not limited to, contracts between businesses and the consumers that they serve, compensation agreements between an author and his or her publishing company, and consulting agreements between commercial entities.

In addition to her work in the corporate and commercial realm, Ms. Condon handles land use and zoning matters throughout Massachusetts. Such work includes, but is not limited to, conducting due diligence on commercial properties (e.g. apartment complexes, undeveloped property and unbuildable lots that clients seek to obtain relief to make same buildable)—reviewing town/city bylaws and zoning regulations, examining titles, grants of variances, permits and orders of conditions, review of feasibility studies, as built plans, site plans and engineering surveys—and advising clients on potential issues related to the purchase of such a property and/or assisting with the relief that must be obtained to use a property for the client’s desired purpose.

Ms. Condon obtained her undergraduate degree from the College of the Holy Cross and graduated from Suffolk University Law School. She is licensed to practice in Massachusetts and New Hampshire. Ms. Condon is a member of the Worcester County Bar Association as well as a member of the Alumnae Council of Dana Hall School in Wellesley, Massachusetts.

Corporate: Purchase and Sale Transactions

  • Represented the buyer in an asset purchase transaction involving the purchase of a financial service business and a separate tax advisory business.
  • Represented the seller in an asset purchase transaction involving the sale of an alternative therapies wellness business.
  • Represented the sellers in an asset purchase transaction involving the sale of a coffee shop.
  • Represented the buyer in an asset and real estate purchase transaction involving the purchase of a daycare and preschool franchise.

Other Corporate

  • Represented the acquiring shareholder in the retirement of and stock transfer by the controlling shareholder of an automotive repair company.
  • Regularly represents a national staffing company with their commercial leasing needs.
  • Regularly assists individuals with choosing appropriate entity structures and setting up initial business operations.

Land Use and Zoning Matters

  • Represented the buyer in the review of non-conforming residential and commercially zoned lots and assisted in determining what relief needed to be obtained from the local and state authorities to make said lots buildable.
  • Assisted a real estate investment entity in performing due diligence for the purchase of a residential condominium property, including the review of the title for the property and all condominium entity formation documents and local zoning bylaws.
  • Assisted a commercial construction company in the due diligence associated with the purchase and construction of a large-scale apartment complex, including the examination of title, zoning bylaws, as built plans, site plans and engineering surveys and advising buyer on permits, authorizations and other relief that needed to be obtained to complete said complex.
